Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and DPA TECH SOLUTIONS S.R.L. (“WhereU”, “we”, “us”), governing your access to and use of the WhereU website at whereu.fun, our mobile web applications, and native mobile client software (collectively, the “Service”).

By creating an account, browsing the map, purchasing subscriptions or tickets, or using our mobile clients, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Eligibility & Account Security

• Age Requirement: You must be at least 16 years of age to create an account or use WhereU. Certain licensed venues, nightlife spaces, or alcohol-associated events may enforce higher legal age restrictions (e.g. 18+), which will be clearly indicated during RSVP or ticket checkout.
• Account Integrity: You are responsible for safeguarding your login credentials. You must immediately notify security@whereu.fun if you suspect any unauthorized account access.
• Self-Serve Account Deletion: You retain the absolute right to terminate your account and expunge all your personal data at any time via whereu.fun/data-deletion.

3. Acceptable Use & Community Safety Standards

WhereU fosters respectful, genuine real-world friendships. We enforce a zero-tolerance policy for abuse:

• No Stalking or Unsolicited Tracking: It is strictly prohibited to use location features, Converge Radar HUD, or proximity alarms to track, surveil, stalk, or harass any individual without their explicit, ongoing consent.
• No Hate Speech or Intimidation: Defamatory, abusive, threatening, racist, xenophobic, sexually explicit, or violent content is strictly prohibited.
• No Self-Harm Promotion: We strictly prohibit content or conduct that encourages, glorifies, or depicts self-harm, eating disorders, or suicide.
• No Automated Scraping or Bots: Bulk data extraction, unauthorized scraping, reverse engineering of APIs, or distribution of unauthorized bot automation is forbidden.
• Truth in Venue Representation: Venue managers and event organizers must provide accurate venue details, operating hours, safety ordinances, and ticket pricing.

4. Notice-and-Action & Content Moderation (DSA Article 16)

Under the EU Digital Services Act, WhereU provides accessible reporting mechanisms for illegal content and abusive behavior:

• In-App Reporting: You can report any user profile, in-app message, event listing, or chat directly via the three-dot context menu.
• Email Reports: You can submit detailed notices to legal@whereu.fun including the URL/ID of the content and the reason for the report.
• Statement of Reasons & Appeals: If we take action on your content or account (removal, suspension, or termination), we will provide an objective statement of reasons explaining the contractual or statutory basis. You may contest the decision through our internal complaint-handling system within six months.

5. Paid Services, Subscriptions & Platform Billing

WhereU offers optional premium features, including WhereU PRO subscriptions, Host Hub organizer plans, promoted event boosts, and event ticket purchasing. Payment processing and subscription management depend on the platform you use:

• Transparent Pricing: All fees are stated in EUR (or your local currency) inclusive of applicable Value Added Tax (VAT/TVA) before final purchase confirmation.
• Google Play Subscriptions (Android): For purchases initiated in the Android app via Google Play, billing and subscription renewals are managed directly by Google LLC / Google Ireland Ltd. You can modify or cancel your subscription at any time via your Google Play account (Google Play Store → Profile → Payments & subscriptions → Subscriptions).
• Apple In-App Purchases (iOS): For purchases initiated in the iOS app via the App Store, billing and subscription renewals are managed directly by Apple Inc. / Apple Distribution International Ltd. You can modify or cancel your subscription at any time in your Apple ID settings (Settings → Apple ID → Subscriptions).
• Web Checkout (Stripe): Purchases made on the web platform (whereu.fun), Host Hub subscriptions, and event tickets are processed securely through Stripe Payments Europe, Ltd. Recurring web subscriptions can be canceled at any time with a single click via your in-app Billing Dashboard or the integrated Stripe Customer Portal without retention barriers or penalty fees.
• 14-Day Statutory EU Right of Withdrawal: As a consumer in the European Union, you have the right to withdraw from a distance contract within 14 days without reason. For immediate digital access to WhereU PRO, you expressly consent to immediate performance and acknowledge that you lose the right of withdrawal once digital service delivery has begun with your prior agreement (Directive 2011/83/EU).
• Event Tickets & Refunds: Event tickets purchased on WhereU are contracts concluded directly between attendees and independent event organizers. Admission, refund, and exchange terms are determined by the organizer and displayed prior to checkout.

6. Location Sharing & Privacy Safeguards

Real-time GPS tracking is entirely opt-in. You choose precisely who can see your position (approved friends only, or public event beacons). You may activate Ghost Mode or Ghost Mode+ at any time to obscure or hide your live location. Location history is automatically pruned and live pins expire after 15 minutes of inactivity.

7. Artificial Intelligence & MCP Integrations

WhereU provides AI-assisted features (such as weekly persona summaries and Model Context Protocol agent tools). You agree not to manipulate or reverse engineer our AI models to produce illegal, abusive, or unauthorized content. Persona flairs are provided for social entertainment and do not constitute professional, medical, or legal profiling.

8. Intellectual Property & User Content License

You retain all ownership rights to the photos, text, and messages you publish on WhereU. You grant WhereU a worldwide, non-exclusive, royalty-free license to store, format, and display your content solely for the purpose of operating the Service for you and your approved recipients. The WhereU brand, logos, interface designs, spatial algorithms, and code remain the exclusive intellectual property of DPA Tech Solutions S.R.L.

9. Limitation of Liability

To the maximum extent permitted by applicable law, DPA Tech Solutions S.R.L. and its directors, employees, or partners shall not be liable for indirect, incidental, punitive, or consequential damages, loss of profits, loss of data, or offline incidents arising from real-world meetups or event attendance.

Nothing in these Terms limits our liability for intent, gross negligence, personal injury, fraud, or statutory consumer guarantees that cannot be lawfully waived under European Union consumer law.

10. Governing Law, Jurisdiction & Online Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Romania, without prejudice to mandatory consumer protection laws in your EU country of residence. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Bucharest, Romania.

European Union consumers may also access the European Commission’s Online Dispute Resolution (ODR) platform at: https://ec.europa.eu/consumers/odr.
